1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer," "you," or "your") and Side Quests HQ, Inc., a Delaware corporation ("Side Quests HQ," "we," "us," or "our"), governing your access to and use of all products, applications, websites, and related services (the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy, which is incorporated by reference.

If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

3. Access to Services & Payment

3.1 Paid Access Only

All plans offered by Side Quests HQ are paid plans.

We do not offer free plans or free trials unless explicitly stated in writing by us.

3.2 Billing and Renewal

Fees are charged based on the pricing plan or enterprise agreement selected by you.

Payments are processed via our third-party payment processors (e.g., Stripe) and are non-refundable except where required by law.

3.3 Seat-Based Access for All Plans

Access to the Services — including organization-wide deployments — is granted strictly on a per-seat (per-user) basis.

Even if your organization purchases an "enterprise" or "organization-wide" plan, usage is bound to the number of seats agreed upon.

Additional users require additional purchased seats.

3.4 Taxes

Subscription fees do not include taxes. All applicable taxes, VAT, GST, or duties will be added at checkout and are your responsibility to pay.

3.5 Late or Failed Payments

If a payment fails or becomes overdue, we may suspend access to the Services after providing reasonable notice.

Suspension does not relieve you of outstanding payment obligations.

4. On-Premise Deployment

4.1 Availability

Side Quests HQ offers on-premise deployment for organizations requiring enhanced security, data residency, or regulatory compliance.

4.2 Deployment & Support

On-premise installations run within your infrastructure and may require additional setup, maintenance, and support agreements.

4.3 Customer Responsibility

You are solely responsible for the security, management, backups, and maintenance of your on-premise environment. We cannot access your infrastructure unless granted explicit, temporary authorization.

4.4 Updates & Patches

We provide patches, updates, and feature releases periodically. You are responsible for installing updates to maintain functionality and security.

4.5 Data Control

In an on-premise setup, all data remains entirely in your control. Side Quests HQ does not host, store, or access your internal data unless explicitly required for support under a signed agreement.

4.6 Separate Contracts

On-premise and enterprise customers may be governed by additional agreements (MSA, SLA, DPA).

5. AI-Generated Output Disclaimer

5.1 Use of Multiple AI Providers

The Services incorporate models and services from multiple AI and LLM providers, including but not limited to: OpenAI (GPT models), Anthropic (Claude), Google (Gemini), and other third-party AI systems.

5.2 Data Use and Transmission

Inputs you provide (text, files, or instructions) may be securely transmitted to third-party AI providers to generate outputs. Side Quests HQ does not modify or control the internal behavior of these third-party models.

5.3 Accuracy & Reliability

AI outputs may contain inaccuracies, hallucinations, or incomplete information. You acknowledge that AI responses are probabilistic and may not be fully reliable.

5.4 No Professional Advice

AI outputs do not constitute legal, financial, academic, medical, or professional advice.

5.5 Customer Responsibility

You are solely responsible for evaluating and verifying AI outputs before using them. Side Quests HQ is not liable for decisions made based on AI-generated content.

5.6 Third-Party Terms

Your use of the AI providers through our Services constitutes acceptance of their respective terms and policies.

6. User Responsibilities

Users agree to:

  • Use the Services lawfully and ethically.
  • Maintain confidentiality of login credentials.
  • Prevent unauthorized access.
  • Not perform security testing (scanning, probing, reverse engineering) without our written approval.
  • Not upload malware, harmful scripts, or attempt to misuse the Services.
  • Not generate unlawful or harmful content.

You are responsible for all activity under your account.

7. Data Processing & Privacy

7.1 Data Roles

Side Quests HQ acts as data processor for content you upload. We act as a data controller for account, billing, and administrative information.

7.2 Privacy Policy

Data handling practices follow our Privacy Policy.

7.3 AI Provider Transmission

Data sent to AI providers is encrypted and transmitted only to fulfill requests.

7.4 Data Ownership

You retain ownership of all content you upload. We receive a limited license to process it solely for the purpose of delivering the Services.

7.5 On-Premise Data

For on-prem deployments, you retain full control over storage, access, and deletion of your data.

8. Termination & Suspension

8.1 Termination by Customer

You may terminate your subscription at any time via your dashboard or by written notice.

Termination does not relieve you of your obligation to settle any outstanding unpaid fees.

8.2 Termination by Side Quests HQ

We may suspend or terminate access if:

  • You violate these Terms or applicable law.
  • You fail to pay required fees.
  • Your use poses a security threat or operational risk.

8.3 Effect of Termination

Upon termination:

  • Access ends immediately.
  • You remain responsible for all charges through the termination date.
  • You should export your data before termination.
  • We may retain limited records for compliance purposes.

9. Intellectual Property

All intellectual property in the Services remains the exclusive property of Side Quests HQ.

You are granted a limited, revocable, non-transferable license to use the Services.

You may not modify, copy, distribute, reverse engineer, or create derivative works.

10. Limitation of Liability

To the fullest extent permitted by law:

  • No indirect damages: We are not liable for any indirect or consequential damages.
  • Liability cap: Our maximum liability is limited to the fees you paid to Side Quests HQ in the 12 months preceding the incident.
  • AI outputs: We are not liable for errors or reliance on AI outputs.
  • Third-party failures: We are not responsible for failures of external AI providers or integrations.

11. Indemnification

You agree to indemnify and hold harmless Side Quests HQ, its employees, directors, and contractors from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your reliance on AI outputs

12. Modifications

We may update or modify features or Terms.

Updated Terms will be posted on our website with a revised "Last Updated" date.

Continued use constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict-of-law principles.

14. Dispute Resolution (Arbitration)

Disputes will be resolved through binding arbitration under AAA rules in Delaware.

  • No class actions
  • Injunctive relief may be sought in court when needed

15. Miscellaneous

  • Entire Agreement: These Terms form the entire agreement.
  • Severability: Invalid sections do not impact the remainder.
  • No Waiver: Failure to enforce is not a waiver.
  • Assignment: You may not assign your rights without consent.
  • Force Majeure: We are not liable for causes outside our control (outages, disasters, government actions, etc.).
